Welcome to Video Notes. By accessing or using our website and application at video-notes.co (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.

1. Description of Service

Video Notes is a web application that allows users to submit YouTube video URLs for processing. Our service generates transcripts, summaries, analysis, and enables chat-based interaction with video content. The Service is provided for personal and professional productivity purposes.

2. Account Registration

To use Video Notes, you must create an account. You agree to:

  • Provide accurate and complete information during registration.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

3. Acceptable Use

You agree to use Video Notes only for lawful purposes. You may not:

  • Use the Service to process content that infringes on the intellectual property rights of others.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated scripts or bots to access the Service beyond normal usage.

4. YouTube Content

Video Notes processes publicly available YouTube videos that you submit. You acknowledge that:

  • We are not affiliated with, endorsed by, or connected to YouTube or Google.
  • The transcripts, summaries, and analysis we generate are for your personal use and reference.
  • The original video content remains the intellectual property of its creators.
  • You are responsible for ensuring your use of the Service complies with YouTube’s Terms of Service.

5. AI-Generated Content

The summaries, analysis, and chat responses provided by Video Notes are generated using artificial intelligence. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You should not rely on AI-generated content as a sole source of factual information, especially for critical decisions.

6. Your Content

You retain ownership of any notes, annotations, or other original content you create within Video Notes. By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you.

7. Our Intellectual Property

The Video Notes name, logo, website design, application code, visual elements, and all related intellectual property are owned by Video Notes and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

8. Pricing and Payment

Video Notes is currently available for free during early access. We may introduce paid plans in the future. If we do, we will provide notice of pricing changes and give you the option to continue with a free tier or upgrade to a paid plan. We will never charge you without your explicit consent.

9. Third-Party Services

Video Notes relies on third-party services to operate, including but not limited to YouTube (for video content), AI providers (for transcript and analysis generation), and cloud hosting providers. We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of the Service is also subject to the terms and policies of these providers. Interruptions or changes to third-party services may affect the availability or functionality of Video Notes.

10. Service Availability

We strive to keep Video Notes available and functional at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or inconvenience caused by service interruptions.

11. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Video Notes disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

12. Limitation of Liability

To the maximum extent permitted by law, Video Notes and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, or business interruption. Our total liability shall not exceed the amount you have paid us in the twelve months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Video Notes, its operators, affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

We may modify these Terms at any time. We will notify users of significant changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

They supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter of these Terms.

19. Assignment

We may assign or transfer our rights and obligations under these Terms to a third party, for example in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
